Under the leadership of William M. Mandell, Pierce & Mandell, P.C. provides comprehensive legal representation for our clients on corporate and business activities, with an emphasis on transactional matters. Bill is joined by Dean P. Nicastro and Emily Kretchmer in representing our business clients. We focus our business practice on serving the needs of closely held and family-owned businesses, health care and technology companies, as well as individual professionals and executives.

Start-Ups
We have represented many start-up companies, and assisted the founders with choice of entity issues, capitalization and governance questions and incorporation. Our clients include, sole proprietorships, "S" and "C" business corporations, professional corporations, limited liability companies, limited liability partnerships, general partnerships, limited partnerships and business trusts. Our clients include, manufacturers, retailers, technology and Internet-related businesses, restaurants, medical and dental practices, hospitals, nursing homes, consultants and other service providers.

Buy-In and Buy-Outs
We regularly represent both individuals and businesses in the course of bringing in new owners and buying-out retiring or departing owners of closely held and family business and professional practices. Our work in this area also includes partnership/business break-ups and dissolutions. We also work with our litigation practice to represent parties in buy-in and buy-out related disputes, litigation and arbitration.

Business Sales and Acquisitions
Our business practice also includes counsel and representation of buyers and sellers of businesses. We assist our clients with assessing their goals and establishing strategies to effectuate the best results. We work with financial consultants and CPAs on issues surrounding business valuation and tax aspects of business transactions. We assist in the negotiating and drafting of confidentiality agreements, letters of intent, purchase and sale agreements, non-competition agreements and employment/consulting agreements.

Real Estate Leases
We review, negotiate and draft commercial leases for our clients.

Joint Ventures/Licensing Agreements
Often in conjunction with our intellectual property practice area, we review, draft and negotiate joint venture arrangements and various licensing agreements.

Financing
We assist our clients with commercial and other forms of financing and refinancing, as well as private capital arrangements.
